1. Scope

These terms govern all quotes, orders and sales. Terms in a buyer's purchase order do not apply unless we accept them in writing.

2. Quotes and orders

Quotes are valid for the period stated. An order is binding once we confirm it in writing or ship it. Stock is subject to prior sale until reserved.

3. Prices and taxes

Prices exclude shipping and applicable taxes and fees unless stated. Taxes are charged according to Tax & resale certificates.

4. Payment

Payment is due as stated on the invoice. Overdue amounts may bear interest at 1.5% per month (18% per year) and may result in suspended shipments.

5. Delivery and risk

Delivery dates are estimates. Risk passes to the buyer on handover to the carrier unless otherwise agreed.

6. Title

Title passes on full payment.

7. Warranty

Warranty is limited to that described on the Warranty page. All other warranties are excluded to the extent permitted by law.

8. Returns

Returns follow the Returns & RMA policy.

9. Limitation of liability

Our liability is limited to the price paid for the products concerned. We are not liable for indirect or consequential losses, including lost profits or data.

10. Governing law

These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable there. The courts of the judicial district of Montreal have jurisdiction.

11. Events outside our control

We are not liable for delays caused by events outside our reasonable control, including carrier disruption, supplier shortages, labour action, extreme weather or government action.

12. Export compliance

The buyer must not export or re-export products in breach of Canadian, US or other applicable export and sanctions laws.

13. Trademarks

Brand names and logos belong to their owners. Buyers must follow each brand's reseller and advertising rules when reselling products.

14. Changes to these terms

We may update these terms. The version in force on the date of your order applies to that order.

15. Language

The parties have requested that these terms be drawn up in English. Les parties ont exigé que les présentes conditions soient rédigées en anglais.
